This is a Fixed term contract role

Join Fonterra’s Governance, Risk, and Audit team as a Governance Manager and play a pivotal role in ensuring the efficient operation of our governance model. Reporting to the GM Governance, you will support best-practice governance, ensuring compliance with legal and regulatory requirements and enabling the Board and executive leadership to make informed, strategic decisions.

This role offers a unique opportunity to work closely with senior leaders, including Fonterra’s Board of Directors, executive management, and key stakeholders across the business. You will drive continuous improvement in governance processes while maintaining a strong compliance focus.

Key Responsibilities:

Governance & Compliance

Manage the smooth operation of Board and Committee meetings, including liaising with stakeholders, and the co-ordination of the agenda, papers and presentations.
Ensure compliance with legal and regulatory requirements, including statutory filings, document retention, and information management.
Administer governance processes for Fonterra’s subsidiaries and joint ventures, including company changes, resolutions, and director appointments. Maintain key governance registers.
Assist the GM Governance with the annual reporting processes.

Best Practice & Strategic Influence

Work alongside the GM Governance to implement and refine governance frameworks and processes.
Influence and support senior stakeholders in understanding their governance obligations.
Partner with Risk, Compliance, Legal, and Finance teams to uphold governance best practices.

Governance Communication & Event Management

Assist the GM Governance with governance events, such as the Annual Meeting.
Oversee the governance calendar and ensure the smooth execution of key governance activities.
Act as the liaison for governance-related requests from auditors and other external stakeholders.

Project Management & Continuous Improvement

Support governance-related projects, ensuring timely and efficient delivery.
Seek opportunities to enhance governance frameworks and drive process improvements.

You bring a strong background in legal, regulatory, or governance roles within a large, complex organisation. Your ability to manage competing priorities, build influential relationships, and drive continuous improvement will set you up for success in this role.

Key skills and experience:

Strong stakeholder engagement and communication skills.
Proven experience in governance, legal, or compliance functions.
Excellent time management, attention to detail, and organisational skills.
Familiarity with complex governance models and corporate structures.
Experience managing governance documentation, records, and statutory filings.
Ability to work independently while collaborating effectively across teams.
